What are the allegations against Hub Group?
The complaint alleges Hub Group made false and misleading statements about its financial reporting.
On Feb. 5, 2026, Hub Group revealed it had understated purchased transportation costs and accounts payable by $77 million during the first nine months of 2025. Hub Group’s stock dropped approximately 18%.
On May 12, 2026, Hub Group disclosed that its 2023 and 2024 financial reports were also materially misstated and that the company did not maintain effective disclosure controls and procedures. Hub Group stock dropped approximately 13%. Together, these disclosures erased more than $870 million from Hub Group’s market capitalization.
Nasdaq Non-Compliance Notice
Hub Group recently received a notice from Nasdaq’s Listing Qualifications Department indicating non-compliance with Listing Rule 5250(c)(1) due to the late filing. While trading is not immediately suspended, continued non-compliance may result in delisting.
